These Terms and Conditions govern your use of the website at damarcol.biz and any services provided by Damar Collective. By submitting an enquiry or engaging our services, you accept these terms. For legal questions, contact us at [email protected].
1. Definitions
- "We / Us / Damar Collective" — the business operating from Block C, Lorong Api-Api 3, 88000 Kota Kinabalu, Sabah, Malaysia.
- "You / Client" — the individual or business entity that engages our services or uses this website.
- "Service" — any of the three AI integration offerings described on this site: Appointment Desk, Multilingual Reply Drafting, or Quarterly Check-in.
- "Agreement" — these terms together with any written service summary or invoice exchanged between us.
2. Acceptance of terms
By submitting an enquiry through our website or proceeding with a service engagement, you confirm that you are at least 18 years old and have the authority to enter into this agreement on behalf of your business. If you are engaging on behalf of a company, you confirm that you have the necessary authority to do so.
3. Service description
Damar Collective provides fixed-scope AI integration services for small businesses. The three services available are:
- Appointment Desk (RM 122): Configuration of a booking assistant connected to an existing calendar, covering slot availability, customer confirmation, and escalation pathways.
- Multilingual Reply Drafting (RM 445): Setup of a draft-reply assistant covering Bahasa Malaysia, English, Mandarin and Tamil, trained on your existing messages, with a three-week live review period.
- Quarterly Check-in (RM 635 per quarter): A scheduled review of an existing AI setup once per quarter, including accuracy checks, content updates and a written assessment note.
Services are provided primarily to businesses in Malaysia. We may agree to work with clients in other locations on a case-by-case basis.
4. Client responsibilities
To allow us to deliver the agreed service, you agree to:
- Provide accurate and up-to-date information about your business, opening hours and services
- Share access to the relevant calendar, messaging platform or AI tool as required for setup
- Make a staff member available for the walkthrough session before go-live
- Notify us promptly of material changes to your products, pricing or business structure
- Ensure that any customer data shared with us for setup purposes is shared with appropriate authorisation
You agree not to use our services in connection with illegal activities, deception of customers, or any purpose that would harm the individuals whose data is involved.
5. Intellectual property
Content on this website — text, design elements, structure — is owned by Damar Collective. You may not reproduce it for commercial purposes without written permission.
Configuration files, glossaries and setup documentation created specifically for your business remain available to you. We may retain anonymised versions for internal reference unless you request otherwise in writing.
6. Payment terms
- All prices are quoted in Malaysian Ringgit (RM) and are exclusive of any applicable taxes.
- Payment is due within 14 days of the invoice date unless a different arrangement is agreed in writing.
- Accepted payment methods include bank transfer and online payment as specified on the invoice.
- Refund policy: If setup has not yet begun, a full refund is available within 7 days of payment. Once setup is underway, refunds are assessed on a pro-rata basis at our discretion. Completed and delivered services are non-refundable.
- Quarterly Check-in fees are invoiced one quarter at a time. Cancellation before a scheduled visit with less than 5 business days' notice may incur a RM 100 cancellation fee.
7. Service delivery and scope
- We will deliver each service within the timelines described on our website and confirmed in writing before work begins.
- Significant changes to the agreed scope requested after setup has started may require a revised quote.
- We are not responsible for delays caused by you failing to provide required access, information or feedback within agreed timeframes.
- The Quarterly Check-in is a scheduled service. Dates are agreed in advance and are subject to our availability.
8. Disclaimers
Our services are provided as-is, based on the information and access you provide. We do not represent that any AI tool will achieve specific business outcomes, handle 100% of messages without human intervention, or operate without occasional errors.
AI tools handle routine and predictable communications well. They are not suitable replacements for human judgement in complex, sensitive or legally significant situations, and our setups include escalation pathways to account for this.
9. Limitation of liability
To the extent permitted by Malaysian law, our total liability for any claim arising from a service engagement is limited to the amount paid by you for that specific service. We are not liable for indirect losses, loss of business, loss of data, or consequential damages arising from the use of our services or the failure of a third-party tool we have integrated.
We are not liable for disruptions caused by third-party platform outages, changes to third-party APIs, or events outside our reasonable control.
10. Indemnification
You agree to indemnify and hold Damar Collective harmless from any claims, costs or damages arising from your misuse of our services, your breach of these terms, or claims by third parties relating to your business's use of the AI tools we configure.
11. Confidentiality
Both parties agree to keep confidential any non-public information about the other party's business that is shared in the course of the engagement. This obligation continues for 24 months after the end of the service relationship. It does not apply to information that is publicly available or that becomes so through no fault of either party.
12. Termination
Either party may terminate an ongoing service arrangement by giving 14 days' written notice. Upon termination:
- You will be invoiced for any work completed to the termination date
- We will return or delete any customer data held for your account within 30 days
- We will assist with disconnecting integrations where reasonably possible
We may terminate immediately if you breach these terms in a material way and do not remedy the breach within 7 days of being notified.
13. Dispute resolution
These terms are governed by the laws of Malaysia. In the event of a dispute, we ask that you contact us first at [email protected] to attempt an informal resolution. If that is unsuccessful, disputes may be referred to the appropriate courts in Kota Kinabalu, Sabah.
14. General provisions
- Entire agreement: These terms, together with any written service summary, constitute the full agreement between us for the relevant service.
- Severability: If any part of these terms is found to be unenforceable, the remaining provisions continue in effect.
- Waiver: Failure to enforce a provision on one occasion does not waive our right to enforce it on another.
- Assignment: You may not transfer your rights under this agreement without our prior written consent.
- Notices: Formal notices should be sent by email to [email protected] and are considered received on the next business day.
15. Changes to these terms
We may update these terms from time to time. We will notify active clients by email at least 14 days before changes take effect. Continued use of our services after that date constitutes acceptance of the updated terms. The most recent version is always available at damarcol.biz/terms-conditions.html.
